Rollin’ Oldies Car Club of Lebanon Constitution<\/strong><\/h2>\n

ARTICLE I – Name<\/strong>
\nThe name of this organization shall be “Rollin’ Oldies Car Club of Lebanon” and shall be
\nreferred to as such herein.<\/p>\n

ARTICLE II – Duration<\/strong><\/p>\n

The duration of the Rollin’ Oldies Car Club of Lebanon shall be perpetual.<\/p>\n

ARTICLE III – Location<\/strong><\/p>\n

The location and post office address of the principal office of the Rollin’ Oldies
\nCar Club of Lebanon shall be P.O. Box 194 Lebanon, OR 97355<\/p>\n

ARTICLE IV – Objectives<\/strong><\/p>\n

Section 1<\/strong>.<\/p>\n

The objectives of the Rollin’ Oldies Car Club of Lebanon are to Promote fellowship
\nand further the knowledge of this organization in all matters pertinent to classic and
\nvintage automobiles, and to promote goodwill among our members and our communities.<\/p>\n

Section 2<\/strong>.<\/p>\n

To carry out these purposes, the Rollin’ Oldies Car Club of Lebanon is authorized
\nto accept, expend, contribute, disburse and otherwise handle and dispose of funds
\nfor such purposes, either directly or by contributing to individuals, or other private
\nor public agencies organized for similar purposes; to promote its objectives through
\ncooperation with similar organizations in operation in various parts of the United States
\nof America; and to do any and all things necessary or proper in connection with, or
\nincidental to, the forgoing purpose.<\/p>\n

ARTICLE V – Plan of Operation<\/strong>
\nSection 1.<\/strong><\/p>\n

To direct, manage, supervise, and control the business, property, and funds of the
\nRollin’ Oldies Car Club of Lebanon, as a non-profit, mutual benefit corporation
\nin Oregon.<\/p>\n

Section 2.<\/strong><\/p>\n

To assist and cooperate with similar organizations within the State of Oregon and
\nthe United States in carrying out like objectives, to the extent such assistance and
\ncooperation are not in conflict with the objectives of the Rollin’ Oldies Car Club
\nof Lebanon, its Constitution or By-Laws.<\/p>\n

Section 3.<\/strong><\/p>\n

To make surveys, conduct research and experiments, prepare and issue publications
\nand periodicals, to sponsor private and public events designed to carry out the
\nobjectives of the Rollin’ Oldies Car Club of Lebanon.<\/p>\n

Section 4.<\/strong><\/p>\n

The work of the Rollin’ Oldies Car Club of Lebanon, shall not be conducted for
\nprivate gain, although it may collaborate with business organizations or individuals
\non projects of general public interest and importance when such projects are
\nconsistent with the objectives of this organization.<\/p>\n

Section 5.<\/strong><\/p>\n

Upon the permanent dissolution of the Rollin’ Oldies Car Club of Lebanon, its
\nassets, including all funds and properties owned by or becoming due to the Rollin’
\nOldies Car Club of Lebanon shall be applied as follows:
\nAll liabilities and obligations of the Rollin’ Oldies Car Club of Lebanon
\nshall be paid, satisfied and discharged, or adequate provision shall be
\nmade thereof.
\nAssets held by the Rollin’ Oldies Car Club of Lebanon upon condition,
\nrequire return, transfer or conveyance, which condition occurs by reason of
\ndissolution, shall be returned, transferred or conveyed to the original owner(s).
\nNo part of the assets of the Rollin’ Oldies Car Club of Lebanon shall be
\ndistributed to or inure to the benefit of any member, or officer of the Rollin’
\nOldies Car Club of Lebanon.
\nThe remaining assets shall be transferred and conveyed to a local non-profit
\norganization as may be designated by the officers and the membership, to be
\nused by the organization for its uses and purposes.<\/p>\n

Section 6.<\/strong><\/p>\n

Club expenditures, liabilities or obligations shall not exceed its liquid assets
\nor the elected officers and members will be liable for any and all obligations.<\/p>\n

ARTICLE VI – Membership<\/strong><\/p>\n

Membership goals shall be:<\/p>\n

Section 1.<\/strong><\/p>\n

The membership of the Rollin’ Oldies Car Club of Lebanon shall consist of those
\nindividuals who:
\nSupport the interests and goals of the Rollin’ Oldies Car Club of Lebanon.
\nHave paid the set fees\/dues for membership.
\nHave attained the age of eighteen (18).
\nPromote good will in the community.
\nPromote safe driving.<\/p>\n

Section 2.<\/strong><\/p>\n

Qualifying vehicles shall have been manufactured by a United Sates based
\ncorporation prior to 1974, or be a non-import, non-4×4 pick-up, or replica of
\na qualifying vehicle.<\/p>\n

Section 3.<\/strong><\/p>\n

Termination of Membership<\/strong><\/em>
\nA member May be removed for any of the following reasons: Failure to pay
\nannual dues.\u00c2\u00a0 At the end of six months into the membership year, the Treasurer
\nshall notify the delinquent member in writing, that if dues are not paid
\nmembership shall be terminated.
\nMembership may be terminated for conduct not in keeping with the best
\ninterest of the Rollin’ Oldies Car Club of Lebanon. Such removal must be by
\nat least a two-thirds vote of the members present and a voting at a meeting
\nin which the item of removal was on a printed agenda sent to all members
\nnot less than 20 days prior to the meeting.
\nMembers removed for failure to keep dues current may be reinstated at any
\ntime after delinquent dues have been paid, but without the repayment of
\ninitiation fees.
\nA member removed for unseemly conduct may re-apply for re-admission
\nunder the following conditions.
\nRepayment of initiation fees.
\nMust wait least one full calendar year from date of expulsion before
\napplication for re-admission.
\nA two-thirds (2\/3) majority vote of the current executive committee.
\nARTICLE VII – Stock<\/strong>
\nThe Rollin’ Oldies Car Club of Lebanon shall have no capital stock.<\/p>\n

ARTICLE VIII – Officers and Directors<\/strong><\/p>\n

Section 1.<\/strong><\/p>\n

The elected officers of the Rollin’ Oldies Car Club of Lebanon shall consist
\nof the following:
\nPresident
\nVice President
\nSecretary
\nTreasurer
\nSergeant-At-Arms
\nHistorian\/Photographer
\nCruise-master
\nNewsletter Editor
\nWeb Master
\nAnd such other positions as the organization may deem necessary.<\/p>\n

Section 2.<\/strong><\/p>\n

The person elected as President shall have previously been a member of the
\nRollin’ Oldies Car Club of Lebanon at least one year prior to nomination for
\nPresident.
\nPrevious President may be invited to serve the current officers in an advisory,
\nbut non-voting capacity.
\nThe term of office of such officers shall commence upon their installation to
\noffice and shall continue until their respective successor shall have been elected,
\nqualified, and installed. All officers are elected to a term of two (2) years, rotating
\nas follows: President, Secretary, Sergeant-At-Arms, and Historian elected one year,
\nand all others elected the next year.
\nInstallation of officers shall be at the December Or January Meeting.<\/p>\n

Section 3.<\/strong><\/p>\n

Elections at the annual meeting shall be by written ballot except when there is
\nonly one candidate for the office.<\/p>\n

Section 4.<\/strong><\/p>\n

Officers shall be residents of the State of Oregon. Only active members may be
\nofficers of this organization.<\/p>\n

Section 5.<\/strong><\/p>\n

Any officer or committee chairperson may be removed for conduct not in keeping
\nwith the best interest of the Rolling’ Oldies Car Club of Lebanon. Such removal
\nmust be by at least a two-thirds (2\/3) vote of the membership present and voting
\nat a meeting in which the item of removal was on a printed agenda sent to all
\nmembers not less than twenty (20) days prior to the meeting.<\/p>\n

Section 6.<\/strong><\/p>\n

Vacancies created during a term of office shall be filled by the appointment of
\nthe remaining officers.<\/p>\n

ARTICLE IX- Amendments<\/strong><\/p>\n

This Constitution may be amended or repealed at any annual meeting or other duly
\ncalled meeting of the Rollin’ Oldies Car Club of Lebanon by a two-thirds (2\/3)
